General Provisions

1. ACCEPTANCE OF TERMS

1.1. This website and the Compass software platform (collectively, the "Site") are operated by Nordic Real Estate Services, LLC ("Nordic Real Estate Services," "NRES," "Company," "We," or "Us"), a limited liability company organized under the laws of the State of Colorado. The Compass software platform is owned by Compass HoldCo LLC and operated by Nordic Real Estate Services, LLC.

1.2. By accessing or using the Site, the Service, or any product owned or operated by Nordic Real Estate Services, you agree to be legally bound by these Terms of Use (the "Terms"). These Terms, together with our License Agreement and Privacy Policy, constitute a legal contract between you and Nordic Real Estate Services.

1.3. By accessing or using any part of the Site or Service, you represent and warrant that you have the legal right, power, and authority to agree to and be bound by these Terms. If you do not agree to these Terms, or if you do not have the legal capacity to enter into this agreement, you must not use the Site or Service.

1.4. These Terms apply to your use of the Site and any website, product, or service owned or operated by Nordic Real Estate Services, including the Compass software platform.

2. DEFINITIONS

2.1. "Authorized User" means:

(a) An individual employed by a Customer, or a Special Contractor of a Customer, at a location identified in the License Agreement; and

(b) Who is specified in the License Agreement as a user of the Password-Protected Service and represented by the Customer to be an employee or Special Contractor of the Customer.

2.2. "Customer" or "Client" means an individual or entity that has entered into a License Agreement with Nordic Real Estate Services authorizing access to the Password-Protected Service.

2.3. "Customer Data" means all data, information, files, documents, and other content that you or any Authorized User enters, uploads, stores, or processes through the Service, including but not limited to property data, financial analyses, tenant information, and calculation results.

2.4. "License Agreement" means either:

(a) A written agreement between a Customer and Nordic Real Estate Services that licenses access to the Service; or

(b) An online agreement formed by registration and acceptance of these Terms or other online agreement established by Nordic Real Estate Services that authorizes access to the Service.

2.5. "Materials" means all information, data, text, software, photographs, images, forms, graphics, organization, layout, design, calculations, algorithms, and other content contained on or provided through the Site, including any proprietary databases of real estate information.

2.6. "Non-Password-Protected Service" means those portions of the Site and Service that may be accessed by the public without the use of Credentials.

2.7. "Password-Protected Service" means those portions of the Site and Service that require authentication (username, password, and/or multi-factor authentication) and are available only to Authorized Users under a License Agreement.

2.8. "Credentials" means the username, password, and any multi-factor authentication methods assigned to or established by an Authorized User for accessing the Password-Protected Service.

2.9. "Service" or "Product" means the Compass software platform and all related websites, applications, tools, databases, content, calculations, documentation, updates, and modifications provided by Nordic Real Estate Services, including both the Non-Password-Protected Service and the Password-Protected Service.

2.10. "Special Contractor" means an individual person working solely for a Customer (and not for another company with real estate analysis or information needs, or for themselves) and performing the same services for the Customer as an employee of the Customer would.

3. DESCRIPTION OF THE SERVICE

3.1. Nordic Real Estate Services provides real estate-specific business software solutions, services, and data analytics through the Compass software platform. The Service enables users to input, analyze, manage, and generate reports about real estate properties, including valuation, financial projections, tenant management, expense tracking, and related functions.

3.2. The Service consists of:

(a) The Non-Password-Protected Service: publicly accessible portions of the Site that do not require authentication; and

(b) The Password-Protected Service: features and functionality that require authentication and are available only to Authorized Users under a License Agreement. This includes the Compass platform, user accounts, and all features requiring login credentials.

4. ACCOUNTS AND AUTHENTICATION

4.1. Account Security. Only Authorized Users may access the Password-Protected Service, and they may only access it using their own Credentials. You are responsible for:

(a) Maintaining the confidentiality of your Credentials;

(b) All activity that occurs under your account;

(d) Not allowing any other person to use or access your account.

4.2. Notification of Breach. You agree to notify Nordic Real Estate Services immediately of any unauthorized use of your Credentials or any other breach of security by emailing support@NordicRealEstateServices.com.

4.3. No Verification Obligation. Nordic Real Estate Services is under no obligation to confirm the actual identity or authority of any party accessing the Password-Protected Service using your Credentials. The issuance of Credentials shall not be construed as confirmation by Nordic Real Estate Services that the recipient qualifies as an Authorized User.

4.4. Unauthorized Access. Unauthorized attempts to defeat or circumvent authentication mechanisms, use the Service for unintended purposes, or obtain, alter, damage, or destroy information or interfere with the operation of the Service are prohibited and may result in:

(a) Immediate loss of access to the Service;

(b) Disclosure of evidence to law enforcement authorities; and

5. PURPOSE AND INTENDED USE OF THE SERVICE

5.1. The Service is intended to provide real estate analysis, valuation modeling, property management tools, and financial projections. The information and services provided through the Service are for general business information purposes only and do not constitute:

(a) Real estate advice;

(b) Legal, tax, or accounting advice;

(d) An appraisal or formal valuation; or

(e) Any other form of professional advice.

5.2. No Professional Relationship. No fiduciary, advisory, attorney-client, or other professional relationship is created by your use of the Service, by communicating with Nordic Real Estate Services via email or any other channel, or by accessing any site owned by Nordic Real Estate Services.

5.3. Not for Consumer Purposes. You shall not use the Service or any information provided through the Service:

(a) For personal, family, or household purposes;

(b) To determine an individual's eligibility for insurance, employment, credit, housing, or any government license or benefit; or

(c) In any manner that would constitute a "consumer report" under the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) or any comparable state or federal law.

6. PERMITTED USES

Subject to these Terms and any applicable License Agreement, you may use the Service in the ordinary operation of your business for:

(a) Internal research, analysis, and decision-making;

(b) Valuing, appraising, and analyzing properties you may invest in, purchase, or manage;

(c) Managing your properties or portfolios;

(d) Analyzing cash flow, identifying operational improvements, and financial planning;

(e) Creating general market research reports, presentation materials, or brochures for in-house use or for distribution to your investors, clients, or prospective clients, provided that such materials are not commercially distributed to the general public unless you are the owner of the property to which the information pertains;

(f) Marketing properties you own or manage; and

(g) Providing counseling, analysis, or guidance regarding a specific property to your clients, investors, or prospective clients.

You may export, print, or copy information from the Service into word processing, spreadsheet, or presentation software, provided that the information is reasonably tailored to your permitted purposes, you own or manage the relevant property, and such use complies with these Terms and your License Agreement.

7. PROHIBITED USES

You shall not, and shall not permit any other person to:

7.1. Competitive Use. Access or use any portion of the Service if you are a direct or indirect competitor of Nordic Real Estate Services. You shall not disclose, provide, or transmit any portion of the Service to any direct or indirect competitor. "Direct or indirect competitors" includes, without limitation, real estate information services, real estate valuation platforms, and their employees, contractors, and agents.

7.2. Unauthorized Access. Access any part of the Password-Protected Service unless you are an Authorized User for that Service under a valid License Agreement.

7.3. Database Creation. Use or distribute any data or information from the Service to directly or indirectly create, contribute to, or develop any database, product, or competing service.

7.4. Credential Sharing. Share your Credentials or provide access to your account to any person other than yourself. This includes providing analysis reports generated from the Password-Protected Service to any person who is not a client, investor, or prospective client of you or Nordic Real Estate Services.

7.5. Reverse Engineering. Decode, modify, disassemble, decompile, merge, or reverse engineer any portion of the Service, or use any automated tool (including robots, spiders, scrapers, or other data extraction devices) to copy, monitor, or mine any part of the Service or the data generated from it.

7.6. Redistribution. Publish, reproduce, store, sell, license, or make publicly available any portion of the Service.

7.7. Unauthorized Export. Export, copy, or store any portion of the Service into any external database or software, except as expressly permitted in Section 6.

7.8. Unauthorized Posting. Post, upload, publish, or provide access to any portion of the Service through the internet, any electronic network, data library, listing service, bulletin board, or any other data-sharing arrangement, except as expressly permitted in Section 6.

7.9. Impersonation. Impersonate any person or entity, including an Authorized User, or falsely state or misrepresent any registration information, or disguise the origin of any data or content transmitted through the Service.

7.10. Illegal Activity. Use the Service to engage in, encourage, or facilitate any illegal activity, or to violate any applicable local, state, national, or international law, rule, or regulation, including without limitation real estate licensing laws and privacy laws.

7.11. Harmful Content. Email, upload, post, or otherwise transmit through the Service any content that:

(a) Infringes any patent, trademark, trade secret, copyright, or other proprietary right;

(b) Is threatening, harmful, abusive, defamatory, obscene, unlawful, or would constitute or encourage a criminal offense or give rise to civil liability;

(d) Contains viruses, malware, or any code designed to interrupt, damage, or limit the functionality of the Service, servers, networks, or any connected systems.

7.12. Unauthorized Distribution. Distribute, disclose, copy, reproduce, display, publish, transmit, assign, sublicense, transfer, rent, sell, or create derivative works of any portion of the Service, except as expressly permitted in Section 6.

8. INTELLECTUAL PROPERTY AND OWNERSHIP

8.1. Ownership. You acknowledge that all rights, title, and interest in and to the Service, including all Materials, databases, software, calculations, algorithms, content, organization, layout, design, trade secrets, trademarks, copyrights, patents, and other intellectual property rights (collectively, the "Proprietary Information"), are and shall remain the sole and exclusive property of Compass HoldCo LLC and its licensors. The Proprietary Information is protected by United States and international intellectual property laws.

8.2. No Transfer. These Terms are not an agreement for sale. You have no right or interest in any portion of the Service except the limited right to use the Service as set forth in these Terms and, if applicable, your License Agreement. Nothing in these Terms grants you any ownership interest in the Service or any Proprietary Information.

8.3. Your Obligations. You agree to:

(a) Comply with all copyright, trademark, trade secret, patent, contract, and other laws necessary to protect all rights in the Proprietary Information;

(b) Not challenge Nordic Real Estate Services' or Compass HoldCo LLC's ownership of, or the validity or enforceability of their rights in, the Proprietary Information; and

(c) Not remove, conceal, obliterate, or circumvent any copyright notice, trademark notice, license information, usage restrictions, or rights management information included in the Service.

8.4. Employee and Agent Liability. You are liable for any violation of these Terms by your employees, independent contractors, affiliates, and agents, and for any unauthorized use of the Service by such persons.

9. CUSTOMER DATA

9.1. Confidentiality. Any data or documents input or stored in the Service by you or your Authorized Users is treated as confidential. Except as otherwise provided herein, Nordic Real Estate Services personnel shall not disclose to others the documents or information stored in your account.

9.2. Access Restrictions. Access to your Customer Data is restricted to:

(a) The Authorized User(s) who stored the information; and

(b) Other users designated by such Authorized User(s) to have access (e.g., through organization membership or property sharing features).

9.3. Company Access Rights. Nordic Real Estate Services and its contractors reserve the right to access portions of the Service, including Customer Data, solely for the following purposes:

(a) Providing customer support;

(b) Performing product development, maintenance, or system administration;

(d) Protecting against unauthorized use of the Service;

(e) Responding to valid legal process; or

(f) As otherwise required by applicable law.

9.4. Customer Data Ownership. As between you and Nordic Real Estate Services, you retain all rights, title, and interest in your Customer Data. Nothing in these Terms transfers ownership of your Customer Data to Nordic Real Estate Services.

9.5. Permitted Use of Customer Data. Nordic Real Estate Services may compile and use Customer Data in the following limited forms:

(a) Aggregated Data: Combined with other customers' data so that the resulting statistical data maintains anonymity as to the source of the data;

(b) Generic Data: Processed so that the details and source of the information are not revealed; or

(c) Analyzed Data: Processed and analyzed using Nordic Real Estate Services methodologies to generate insights that protect the identity of the specific underlying property and Customer Data.

Nordic Real Estate Services may disclose Aggregated Data, Generic Data, and Analyzed Data to any party, including other customers and the public.

9.6. No Sale of Identifiable Customer Data. Nordic Real Estate Services will not sell, rent, or trade your identifiable Customer Data to third parties.

10. USER-SUBMITTED CONTENT

10.1. Your Responsibility. Any information, data, text, photographs, images, feedback, suggestions, or other content that you input, upload, post, or otherwise transmit through the Service ("Submitted Content"), whether publicly displayed or privately stored, is your sole responsibility.

10.2. Ownership. You retain any applicable ownership rights in your Submitted Content.

10.3. License Grant. By submitting Submitted Content through the Service, you grant Nordic Real Estate Services and Compass HoldCo LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, process, store, and display the Submitted Content solely for the purposes of:

(a) Providing, maintaining, and improving the Service;

(b) Conducting research and development to improve the Service;

(d) Complying with legal obligations.

This license does not grant Nordic Real Estate Services the right to sell, rent, or commercially distribute your identifiable Submitted Content to third parties.

10.4. Representations. You represent and warrant that:

(a) You own or have the full right, power, and authorization to submit all Submitted Content to the Service;

(b) Your Submitted Content does not violate any right held by any third party, including intellectual property rights, privacy rights, or contractual rights;

(d) All data, inputs, photographs, and other information you submit through the Service are either your own work or material you have the legal right to submit.

10.5. Monitoring. Nordic Real Estate Services has no obligation to screen or monitor Submitted Content and is not responsible for any Submitted Content. However, Nordic Real Estate Services reserves the right, in its sole discretion, to review, edit, or remove any Submitted Content at any time and for any reason.

10.6. No Relationship Change. Submitting Submitted Content through the Service does not create any new or altered relationship between you and Nordic Real Estate Services beyond what is set forth in these Terms.

11. FEES AND PAYMENT

11.1. You are responsible for the timely payment of all fees incurred through your use of the Service, as specified in your License Agreement or Subscription Plan.

11.2. You are responsible for all applicable taxes in connection with your use of the Service.

11.3. Nordic Real Estate Services reserves the right to change the structure and amount of fees charged for access to the Service. Fee changes are subject to the notice requirements set forth in the License Agreement.

11.4. If you are accessing the Service, you agree to:

(a) Provide Nordic Real Estate Services with accurate, truthful, and complete registration and billing information;

(b) Promptly update all billing and registration information in the event of any changes; and

12. FREE TRIALS AND BETA ACCESS

12.1. Nordic Real Estate Services may, at its sole discretion, offer free trial periods ("Free Trials") or beta access to selected individuals ("Participants").

12.2. Nordic Real Estate Services will notify Participants of their eligibility and the duration of the Free Trial or beta access period.

12.3. During a Free Trial, the Participant shall be treated as an Authorized User and a Customer, and may use the Password-Protected Service subject to these Terms and any additional terms communicated by Nordic Real Estate Services.

12.4. Nordic Real Estate Services may terminate a Free Trial at any time, with or without notice.

12.5. Free Trial and beta access features are provided "as is" and may contain bugs, errors, or incomplete functionality. Nordic Real Estate Services makes no warranties regarding the availability, reliability, or performance of Free Trial or beta features.

13. NEWS, BLOGS, AND COMMUNITY FEATURES

13.1. Nordic Real Estate Services may provide news, blogs, forums, property sharing, and other community features as part of the Service ("Community Features").

13.2. Nordic Real Estate Services grants you a limited, revocable license to access and use Community Features for non-commercial, informational purposes, subject to these Terms.

13.3. When using Community Features, you shall not:

(a) Publish, distribute, display, sell, or create derivative works from Community Feature content without prior written consent;

(b) Use data mining, robots, or automated extraction tools on Community Feature content;

(d) Upload or distribute viruses, malware, or other harmful code; or

(e) Attempt to gain unauthorized access to any networks, systems, or data connected to the Service.

13.4. Any information you voluntarily disclose in public or semi-public Community Features may be viewed, collected, or used by other users. Nordic Real Estate Services is not responsible for personal information you choose to share in Community Features.

13.5. Content incorporated by Nordic Real Estate Services in Community Features is protected by applicable intellectual property laws, including copyrights, patents, trademarks, and trade secrets.

14. THIRD-PARTY LINKS AND SERVICES

14.1. The Service may contain links to third-party websites, applications, or resources. Nordic Real Estate Services does not control, endorse, or assume responsibility for the content, privacy practices, or availability of any third-party sites or resources.

14.2. Nordic Real Estate Services shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services available through linked sites or resources.

14.3. The inclusion of any link in the Service does not imply endorsement, sponsorship, or affiliation. We recommend reviewing the privacy policy and terms of use of every third-party site you visit.

15. ADVERTISEMENTS AND PROMOTIONS

15.1. Nordic Real Estate Services may display advertisements and promotions within the Service, including from third-party advertisers.

15.2. Any business dealings with third-party advertisers found through the Service, including payment, delivery of goods or services, and any related terms or warranties, are solely between you and the advertiser.

15.3. Nordic Real Estate Services is not responsible for any loss or damage resulting from any such dealings or the presence of third-party advertisements within the Service.

16. PRIVACY

16.1. Your use of the Service is subject to our Privacy Policy, which is incorporated into and made part of these Terms and any applicable License Agreement.

16.2. Nordic Real Estate Services implements commercially reasonable security measures to protect Customer Data. However, no method of electronic transmission or storage is completely secure. We cannot guarantee the absolute security of your data, and we shall not be liable for any unauthorized access, loss, or alteration of information beyond our reasonable control, to the fullest extent permitted by applicable law.

16.3. You are responsible for maintaining the security of your Credentials and for promptly notifying us of any suspected unauthorized access to your account.

16.4. Telephone Communications. By using the Service and agreeing to these Terms, you consent to the recording of telephone or other communications with Nordic Real Estate Services representatives for training, quality assurance, and record-keeping purposes, to the extent permitted by applicable law.

16.5. Marketing Communications. Nordic Real Estate Services may send you communications about new features, product updates, and marketing content. You may unsubscribe from marketing communications at any time by following the instructions in the communication or contacting us at support@NordicRealEstateServices.com. See our Privacy Policy for more details.

17. ACCURACY OF INFORMATION

17.1. The Service is intended for general informational purposes. Any reliance on the Service is at your own risk.

17.2. Neither Nordic Real Estate Services nor any third party involved in producing or delivering the Service has any responsibility for any consequences relating directly or indirectly to any action or inaction you take based on the Service.

17.3. The Service should not be relied upon as a substitute for consultation with qualified real estate, legal, tax, accounting, or investment professionals. You should not make significant business or financial decisions based solely on the output of the Service without independent professional verification.

17.4. Nordic Real Estate Services does not guarantee that the Service, its calculations, or its data will be accurate, complete, or current at all times.

18. USER DATA BACKUPS

18.1. YOU ARE RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUP COPIES OF YOUR DATA. While Nordic Real Estate Services maintains infrastructure-level backups, we do not guarantee the recovery of specific user data.

18.2. If you change settings, create saved searches, modify fields or functions, or input, add, or export any data through the Service (collectively, "User Data"), Nordic Real Estate Services and its affiliates, officers, directors, employees, agents, and third-party suppliers (collectively, the "Nordic Parties") shall not be liable for any User Data that is lost, destroyed, corrupted, or accessed by unauthorized third parties.

19. NO WARRANTIES

19.1. NORDIC REAL ESTATE SERVICES STRIVES TO PROVIDE AN ACCURATE AND VALUABLE SERVICE. HOWEVER, THE SERVICE AND ALL OF ITS COMPONENTS ARE PROVIDED "AS IS," "WITH ALL FAULTS," AND "AS AVAILABLE."

19.2. THE NORDIC PARTIES DO NOT REPRESENT, WARRANT, OR GUARANTEE THAT:

(a) THE SERVICE WILL BE COMPLETE, ACCURATE, CURRENT, OR TIMELY;

(b) THE OPERATION OF OR ACCESS TO THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; OR

19.3. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE NORDIC PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

19.4. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM NORDIC REAL ESTATE SERVICES OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

19.5. ANY RELIANCE UPON THE SERVICE IS AT YOUR OWN RISK.

20. LIMITATION OF LIABILITY

20.1. Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY OF THE NORDIC PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, THESE TERMS, OR YOUR USE OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

20.2. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE NORDIC PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, THESE TERMS, OR ANY LICENSE AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO NORDIC REAL ESTATE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE. THIS SHALL BE YOUR SOLE AND EXCLUSIVE REMEDY.

20.3. Force Majeure. THE NORDIC PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES RESULTING FROM FAILURE TO PERFORM ANY OBLIGATION UNDER THESE TERMS DUE TO CAUSES BEYOND THEIR REASONABLE CONTROL, INCLUDING WITHOUT LIMITATION ACTS OF GOD, WAR, TERRORISM, FIRE, FLOOD, EPIDEMIC, PANDEMIC, GOVERNMENTAL ACTION, FAILURE OF TELECOMMUNICATIONS OR TECHNOLOGY, OR INDUSTRIAL DISPUTES.

20.4. Fundamental Element. THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN NORDIC REAL ESTATE SERVICES AND YOU. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

20.5. Statute of Limitations. NO ACTION ARISING OUT OF OR PERTAINING TO THESE TERMS MAY BE BROUGHT MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION HAS ARISEN.

21. INDEMNIFICATION

21.1. You agree to defend, indemnify, and hold harmless Nordic Real Estate Services, Compass HoldCo LLC, and their respective affiliates, officers, directors, employees, and agents (collectively, the "Indemnitees") from and against any and all claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of the Service;

(b) Any Submitted Content you provide through the Service;

(d) Your violation of any applicable law, rule, or regulation; or

(e) Your violation of the rights of any third party.

21.2. You agree to cooperate fully in the defense of any such claim or demand.

21.3. Nordic Real Estate Services reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You shall not settle any such matter without the prior written consent of Nordic Real Estate Services.

22. TERMINATION AND SUSPENSION

22.1. Termination by Company. Nordic Real Estate Services reserves the right to suspend or terminate your access to the Service at any time if:

(a) You or your company violates any terms of these Terms, the License Agreement, or any other agreement between the parties;

(b) Your subscription lapses or payment is overdue; or

22.2. Effect of Termination. Upon termination or suspension:

(a) You and your Authorized Users shall immediately cease using the Service;

(b) You shall permanently delete or destroy any portions of the Service, Materials, or Proprietary Information in your possession, custody, or control; and

(c) Your rights under these Terms shall immediately terminate, except for provisions that by their nature survive termination.

22.3. Survival. The following provisions shall survive termination of these Terms: Sections 8 (Intellectual Property), 9 (Customer Data), 10 (User-Submitted Content), 19 (No Warranties), 20 (Limitation of Liability), 21 (Indemnification), 26 (Governing Law), and 29 (General Provisions).

22.4. Data Export. Upon termination, you may export your Customer Data in accordance with the data portability provisions of the License Agreement and Privacy Policy.

23. EXPORT RESTRICTIONS

23.1. The Site is controlled and operated by Nordic Real Estate Services from its offices within the United States. Nordic Real Estate Services makes no representation that the Service or any Materials are appropriate, available, or compliant with local law in other jurisdictions.

23.2. If you access the Service from outside the United States, you do so at your own initiative and are responsible for compliance with all applicable local laws.

23.3. You may not export or re-export any portion of the Service except in full compliance with all applicable laws and regulations, these Terms, and any applicable License Agreement. No portion of the Service may be exported or re-exported:

(a) In violation of the sanctions, export control laws, or regulations of any applicable jurisdiction;

(b) To any country to which the United States embargoes goods;

(d) To anyone on the U.S. Commerce Department's Denied Persons List or Entity List.

24. TRADEMARKS

24.1. The Service displays various trademarks and service marks of Nordic Real Estate Services, Compass HoldCo LLC, customers, and third parties. All trademarks and service marks are the property of their respective owners.

24.2. You may not use or display any trademark or service mark appearing in the Service without the prior written consent of the trademark owner.

25. PUBLICITY

25.1. You acknowledge and agree that Nordic Real Estate Services may use your name and logo on the Nordic Real Estate Services website and in marketing materials to identify your relationship with Nordic Real Estate Services.

25.2. You may revoke this consent at any time by providing written notice to Nordic Real Estate Services. Upon receipt of such notice, Nordic Real Estate Services will remove your name and logo from marketing materials within thirty (30) days.

26. GOVERNING LAW AND JURISDICTION

26.1. These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of laws principles.

26.2. The federal and state courts located in the State of Colorado shall have exclusive jurisdiction over any action brought against Nordic Real Estate Services in connection with these Terms or your use of the Service.

26.3. You irrevocably consent to the personal jurisdiction and venue of the courts described in Section 26.2.

26.4. If any Material in the Service, or your use of the Service, is contrary to the laws of the place where you access it, or if Nordic Real Estate Services is not licensed as required by applicable laws in your jurisdiction, the Service is not intended for you, and you should not use the Service.

27. DISPUTE RESOLUTION

27.1. Prior to initiating any legal proceeding, the parties agree to attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation for a period of at least thirty (30) days after written notice of the dispute is provided by the complaining party.

27.2. If the dispute cannot be resolved through negotiation within the thirty (30) day period, either party may pursue its legal remedies in accordance with Section 26.

27.3. All proceedings shall be conducted in English. All documents submitted in connection with any legal proceeding shall be in English.

28. MODIFICATIONS TO THE SERVICE AND THESE TERMS

28.1. Service Modifications. Nordic Real Estate Services reserves the right to modify, update, suspend, or discontinue the Service (or any part thereof) at any time, temporarily or permanently, with or without notice. You agree that Nordic Real Estate Services shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

28.2. Changes to Terms. Nordic Real Estate Services reserves the right to modify these Terms at any time. When we make material changes, we will:

(a) Post the revised Terms on the Site;

(b) Update the "Last Modified" date at the top of this page; and

28.3. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

29. GENERAL PROVISIONS

29.1. Entire Agreement. These Terms, together with the License Agreement, Privacy Policy, and any applicable Subscription Confirmation, constitute the entire agreement between the parties with respect to the Service and supersede all prior or contemporaneous understandings, statements, and agreements regarding the subject matter hereof. These Terms do not supersede any written License Agreement between the parties.

29.2. Assignment. You may not assign or transfer these Terms or any rights hereunder, in whole or in part, without the prior written consent of Nordic Real Estate Services. Nordic Real Estate Services may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this Section shall be void. Your obligations under these Terms are binding on your successors, legal representatives, and assigns.

29.3. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

29.4. Waiver. Any failure by Nordic Real Estate Services to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it at a later time.

29.5. Headings. Section headings are for reference only and shall not affect the interpretation of these Terms.

29.6. Notices. All notices to Nordic Real Estate Services pertaining to these Terms shall be in writing and delivered by:

(a) Registered or certified mail, return receipt requested;

(b) A nationally recognized overnight carrier (e.g., FedEx, UPS, DHL); or

addressed to: Nordic Real Estate Services, LLC, 1919 84th Ave, Greeley, CO 80634.

29.7. Eligibility. Use of and access to the Service is available only to individuals who can enter into legally binding contracts under applicable law.
